Total spin-off of Cronos: governance and operational continuity

We acted as Main Contractor to manage the post–total non-proportional spin-off phase of Cronos, ensuring the proper transfer of assets and long-term operational continuity.

Challenge
Cronos had to execute a total spin-off to five beneficiaries, including Generali Italia and Unipol. This unique operation in the sector involved high technical and regulatory complexity, especially in the months following the spin-off. We supported the company’s dissolution, ensuring a smooth transfer of assets and data preservation in compliance with antitrust constraints.
Approach
We adopted a Global Governance model to coordinate the entire program. A structured framework was defined based on shared processes, advanced monitoring tools, and continuous risk management. Our “unsupervised entity” strategy allowed us to operate with full neutrality, managing the creation of “compendi” (asset aggregates) and ensuring a unified, impartial, and compliant interface for all stakeholders involved in the transformation.
Solution
By orchestrating a hybrid team composed of our internal experts, former Cronos employees seconded from beneficiary companies, and long-standing vendors, we ensured maximum operational continuity, managing high-level planning and execution of the formal dissolution. Through rigorous project management, alignment among the involved insurance companies was ensured, while the roadmap includes the management of residual activities until 2026 and long-term data preservation until 2035.
